The investment process
A clear path from application to investment
Every investment opportunity undergoes a screening and appraisal process. Companies that successfully pass this stage are invited to present to our members.
Application and initial screening
Submit your funding request through the website. Qualified applicants enter our deal flow management system for review.
Desk-based appraisal
Upload the documentation we need for a preliminary evaluation. We may ask for additional materials to complete our assessment.
Structured interview and member presentation
Approved companies attend a formal interview, then present to syndicate members at one of our monthly members’ meetings.
Book building
With member support, we build investment capacity internally and with co-investors, including Scottish Enterprise, to complete the round.
Term sheet and legal completion
We present a formal offer. On acceptance, legal documentation, including the investment agreement and any revised Articles of Association, is finalised.
Funding
Once legal completion concludes, funds are released and the company joins our portfolio.

How our investments work
Individual member investment
Investments in portfolio companies are made by individual TRICAPITAL members, not by TRICAPITAL as an organisation.
Fees
Research and ongoing monitoring fees are charged to investee companies. Due diligence costs are borne by the company if the investment proceeds.
Co-investment
TRICAPITAL manages Scottish Enterprise Co-Investment Fund participation where applicable, increasing the capital available to your round.
Board representation
Where possible, we may appoint an Investor Director and/or Observer to the invested company's board to represent members' interests.
EIS eligibility
All applications must meet Enterprise Investment Scheme (EIS) approval or eligibility standards.
Deal flow management
The whole pipeline, from application to completion, is managed in our deal flow management system, giving members a single, structured view of every deal.
